SEALSQ generated $11.151M of revenue in the six months ended June 30, up from $4.825M. Gross profit rose from $1.626M to $5.408M. The recovery is economically useful: more sales now arrive with materially better gross profit. It is not enough to call this profitable growth, however. The operating loss widened 51.4% to $32.162M. Management is investing ahead of demand, and shareholders must judge how long that mismatch lasts.

The reporting structure changed when IC’Alps was acquired in August 2025. The current operating segments are Semiconductors and ASIC, with other activities and corporate costs reconciled separately. Acquired revenue is not evidence that the established products grew at the headline rate. Semiconductors supplied most external sales and remained loss-making. ASIC brought an attractive gross-profit contribution but also substantial engineering and amortization costs. The comparison is therefore not simply legacy chips versus a profitable design acquisition. The acquired unit is part of the spending programme. A buyer should demand evidence that internal development work creates external sales and that the resources acquired earn a return rather than permanently enlarging the cost base.

Management reported thirty prospective customers and partners evaluating QVault TPM and QS7001. Evaluation is a product-development milestone, not a shipment or a binding purchase order. The more than $225M opportunity pipeline extends through 2029 and includes more than $100M connected to post-quantum projects. We give those opportunities no automatic dollar-for-dollar asset value. Certification, technical integration and procurement can change both timing and conversion. The late-H2 initial revenue expectation is the next milestone to test.
Gross operating expenses were $39.002M before $1.432M of other operating income. That spending supported only $5.408M of gross profit. The issue is not a small rounding gap that modest growth can close. Holding this half-year cost structure and gross margin constant would require roughly $77.5M of half-year sales to break even at the operating line. This is a mechanical stress calculation, not a forecast; management could reduce costs or change the product mix. It shows the scale of operating leverage still required.
Interest income of $6.240M is a benefit of holding a large liquidity pool. It is not proof that the semiconductor operation is near profitability. Currency gains and losses, investment marks and acquisition remeasurement also sit below the operating line. Those items can change without a corresponding shift in product demand. We therefore anchor operating assessment in gross profit, spending and cash flow rather than the smaller net-loss headline.

The twelve-month loss and the first-half loss tell the same direction of travel. Annual sales recovered in 2025, but the cost structure expanded substantially faster than the gross-profit base. We retain the annual history rather than treating the latest half as a clean break. Acquisition amortization explains part of the gap, yet cash operating uses also rose. Calling every cost an investment does not remove the obligation to show future returns.
Total receivables are $21.706M, but $16.673M belong to shareholder or related-party balances. Treating all of those balances as customer invoices produces 352 apparent sales days, a misleading operating collection ratio. Net trade receivables are $4.964M after allowance, producing about 81 period-end trade days. This still deserves attention, but the larger governance question is the growth of related-party claims and whether those claims are collected in cash. We separate the two risks rather than burying them in one ratio.

The latest notes disclose a little-r correction involving Swiss stamp duties on historic share issues. The current comparison also moves H1 2025 non-operating expense and net loss by $0.030M. We use the revised figures and retain the original statements for audit. This is not treated as a new restatement-amendment cluster under the eligibility screen, but it remains relevant to reporting discipline. The annual report’s historical cashflow corrections move costs between operating and financing categories, so the latest restated annual cashflow comparisons govern.
We do not publish Beneish or Altman scores from incomplete or economically mismatched inputs. A loss-making, acquisition-heavy issuer with large related-party receivables can produce superficially precise ratios that obscure the underlying questions. The nine-check scorecard is more useful here: can customers generate cash, can the liquidity pool remain available, and does share-based funding improve value for each existing economic interest? A numeric model is only as informative as the classification choices behind it.
The press-release headline refers to $486.108M of cash including restricted balances. The balance sheet distinguishes $479.797M of cash and equivalents and $6.311M restricted. We add $2.449M current investments and $0.128M noncurrent available-for-sale debt securities, then subtract $1.341M of notes, longer-term debt and finance leases. That gives $481.033M net liquid assets. Operating leases remain operating costs in the going-concern models; all liabilities are deducted in the conservative asset route.

Free cash flow consumed $25.249M in H1. Simply repeating that pace implies $50.498M annual use before new acquisitions or investment commitments. This is not a liquidity emergency: management’s going-concern assessment says resources support operations through its projection horizon. The investment issue is opportunity cost. Cash committed to technology, affiliates or acquisitions is no longer a freely distributable dollar merely because it began in a bank account.
The company expanded its strategic capital allocation to $200M and says more than $60M has been committed across its portfolio. Those figures overlap assets and historical purchases already reflected in the balance sheet; we do not deduct the entire announced allocation again. The separately disclosed $10M WISeSat subscription had not been funded at the report date, so we reserve it in the valuation. This is conditional investment exposure to another company’s business combination, not a disclosed merger of the LAES issuer itself; the eligibility review distinguishes that exposure from an issuer merger exclusion. The base model excludes restricted cash and values the $34.907M carrying amount of selected noncurrent equity and other investments at half of book in the asset and sum-of-parts routes. The haircut is analyst judgment, not an impairment allegation.
F shares receive five times an ordinary share’s dividend and surplus-asset entitlement while retaining nearly half the voting power as a class. There is no ADS conversion to apply: LAES represents ordinary shares directly. The denominator adds F-share economic equivalents and low-strike options; the forty-five thousand subsequent option exercises are already within that option total and are not counted twice. Class E warrants cover another 60.827M shares at $5.50. They are outside all modeled price endpoints, but would change both shares and cash if exercised. Ignoring proceeds while adding every warrant would be just as misleading as ignoring dilution entirely.
Our $1.65 fair value is the arithmetic mean of three routes, not the probability-weighted scenario value. The route band is $1.48 to $1.84. At $2.26, the snapshot stands above that band. We assign SELL with moderate conviction and very high uncertainty. The call is about an unattractive price relative to a conservative distribution of outcomes; it is not a claim that the technology cannot succeed or that the company lacks cash.
The corrected residual enterprise value is approximately $41.35M. Using the vendor capitalization instead would imply a negative $158.77M enterprise value and a much stronger cash-bargain narrative. That conclusion rests on an inconsistent share count. Even the corrected positive EV is not automatically cheap: a loss-making operation can have a negative discounted cash-flow value if future investment outweighs eventual profits. Cash and the business must be assessed together.
Liquid assets $482.374M + 50% × $34.907M investments − $52.502M total liabilities − $7.457M NCI − $50.498M future burn − $10M subscription reserve = $379.371M. Divide by 231.140922M economic shares: $1.64. Other operating assets receive no recovery value, deliberately conservative.
Net liquidity $481.033M − $50.498M burn − $10M commitment + $31.5M guide midpoint × 3 sales + 50% × $34.907M investments. Apply a 20% governance/deployment discount to the combined equity pool, then divide by 231.140922M shares: $1.84. Three times sales is an analyst assumption, not an observed peer multiple.
Analyst five-year FCF path: −$45M, −$35M, −$20M, −$5M, +$8M; 15% discount rate; 3% perpetual growth after year five. Interim PV is $-77.627M and terminal PV is $34.139M. Add $481.033M liquidity, reserve $10M, apply 20% discount and divide by 231.140922M shares: $1.48. This route gives no separate value to illiquid investments, preventing double counting their future contribution.
The model deliberately separates cash consumption from capital allocation. The sales route reserves one year of observed FCF burn before assigning operating value; the DCF route instead forecasts future flows directly and does not deduct that burn reserve a second time. The asset route subtracts all liabilities rather than only financial debt. These are different methods with different conservatism, not three copies of the same multiple. A thirty-percent margin of safety against the mean would require about $1.15. That is a price discipline for this uncertainty category, not an automatic buy order.
The bear and bull endpoints are residual-equity stress assumptions and must not be mistaken for mathematically certain floors or ceilings. Cash can be spent, investments may appreciate, and product wins can change the operating value quickly. Conversely, a wide optionality story can justify almost any target if the analyst silently changes both the share count and conversion assumptions. We hold those choices visible and keep the scenario expected value separate from the route mean.
The available target tape is thin and predates these results. FMP supplies an $8 target dated January 15, 2026 and a $7 target dated December 18, 2025. Provider FY2026 revenue consensus of $30.6M falls within management’s $27–36M range. Its loss estimates are harder to use: the annual net-loss snapshot is smaller than the net loss already recorded in the first half. That may reflect stale assumptions or different definitions, and the EPS denominator also conflicts with the filing. We preserve the raw values for transparency while declining to calculate a precise earnings beat or claim the Street has already digested the report. A low analyst count makes the average fragile.
Our disagreement is therefore partly about economics and partly about evidence quality. We require a return on the expanded cash and technology base per current economic share. Historical targets may assume much faster product conversion or much less dilution. Without their full current models, we cannot honestly assign them a particular implied growth rate. The comparison is most useful as a checklist: updated denominator, actual cash use, milestone conversion and the treatment of strategic investments.
Management deserves credit for improving gross margin and arranging liquidity sufficient to fund the roadmap. It also owns the responsibility for spending that liquidity. The cost of capital does not disappear when financing is available. With the F-share class controlling nearly half of voting power and related-party exposures growing, outside shareholders have less influence over how long investment continues before returns are demonstrated. The appropriate scorecard rewards externally measurable outcomes, not the number of partnerships announced.

The workforce grew from 61 in 2023 to 67 in 2024 and 185 in 2025, reflecting the acquisition and capability expansion. Those employees are an operating resource and an ongoing cost base; their presence is not evidence of revenue productivity. The 2025 annual report identifies BDO Ltd as auditor and states that cash dividends have never been paid and are not intended for the foreseeable future. Consequently, the cash thesis relies on reinvestment outcomes rather than a stated distribution policy.
The next result should answer those questions with amounts and dates. A reaffirmed revenue range is not a substitute for a cash-use target, and a certification achievement is not a substitute for paid customer demand. We would improve the assessment when management can connect product milestones to signed volume, collection and shrinking operating loss on a stable economic share basis.

The strongest bull case is not that every opportunity converts. It is that sufficient cash allows SEALSQ to complete qualifications and win a meaningful subset of long-lived security programmes. A higher-margin ASIC and recurring identity mix could improve revenue quality, while acquired capabilities shorten development cycles. In that outcome, today’s expenses fund a durable product base and the strategic portfolio retains or increases its value. Our bull endpoint allows a substantial gain from the snapshot without assuming warrants exercise below their strike.
The strongest bear case is that the company becomes a continuing portfolio of promising projects funded by new equity, with cash burn rising faster than customer demand. Large related-party balances and concentrated voting power make it harder for minority investors to demand a change in strategy. Technical milestones can be real and still fail to produce sufficient economic returns. The stock could therefore lose value even while headline cash and total corporate assets increase.
Where we land is conditional and testable. We see real operating improvement at the gross-profit line, but insufficient evidence that the expanded cost and capital base earns a return for each share. This earns moderate conviction rather than certainty because the commercialization outcome is highly skewed. The SELL call would change if signed commercial conversion, cash collection and per-share capital discipline improve enough to justify revising the model, or if price provides a much larger margin of safety.

Dates in this table have different strength. The earnings call was explicitly scheduled; the business-combination date is an expected deadline; the commercial launch window is management guidance; and the full-year reporting date is not confirmed. None should be converted into a guaranteed catalyst. The most valuable update may be a disclosure of signed customer commitments or receivable settlement rather than the next broad technology announcement.
For a constructive revision, we would want the revenue midpoint to remain achievable while half-year operating cash use falls toward twenty million dollars and related-party balances decline. A revenue beat accompanied by accelerating cash use would be a mixed result. Likewise, new financing that increases cash and shares proportionally does not by itself improve the thesis. The next packet should grade the exact signposts printed above, including unfavorable outcomes, rather than replace them with a different success metric.

SEALSQ is a foreign private issuer reporting semiannually. The requested nine-quarter lookback is retained in the dataset as explicitly unavailable standalone quarters. Seven six-month periods and three full fiscal years provide the actual financial history. We never divide a half-year evenly to manufacture quarterly performance. Below-the-line amounts, cashflow rows, segment tables and original source documents are retained with their URLs, download times and SHA256 hashes so that the displayed summaries can be traced and recalculated.
Amounts in operating and balance-sheet tables are U.S. dollars in millions, translated from the filing’s thousands. Share counts are actual shares or explicitly millions of economic interests; valuation values are ordinary dollars per share. USD per-share figures use a separate chart format so they cannot acquire an erroneous million-dollar suffix. The company reports in U.S. dollars; we do not invent a single exchange rate for its mixed-currency operations. Other geographic and portfolio amounts remain in their disclosed currencies when quoted.

Free cash flow is operating cash flow less property purchases. Working-capital days use ending balances and the actual half-year day count; they are not average-balance metrics. The valuation denominator includes F-share economic rights and all low-strike options with no credited exercise proceeds. Its subsequent option exercise is not double-counted. The market snapshot, June balance sheet and forward model intentionally have distinct dates.
