Manchester United has restored Champions League participation and set records for annual revenue and adjusted EBITDA. The equity question is whether that sporting improvement leaves substantially more cash for outside shareholders. Our answer at the saved $20.51 reference price is SELL, with a $13.50 base value, conviction three out of five and High uncertainty. The franchise is valuable, but that does not make every quoted price attractive. The next-year guidance already demonstrates how additional revenue can be absorbed by the cost of competing.
The quote is the September 22 close, timestamped 20:00:03 UTC, before the September 23 results. It is not an observed earnings reaction. The issuer's September 9 announcement scheduled these results for “7:00 AM EST” on September 23; we retain that exact timezone wording rather than silently correcting it. EDGAR accepted the current Form 6-K at 07:00:16 with a minus-four-hour offset. These sources establish a premarket release, but the reference quote still predates it. We have no verified post-print move in the saved dataset.
The stock is quoted in US dollars; the financial accounts and our operating assumptions are in pounds sterling. We use the September 22 GBPUSD close of 1.33709 dollars per pound to translate enterprise and equity values. The release's June 30 rate of 1.3272 is a different historical rate used in reporting the balance sheet. Mixing the two dates or treating sterling revenue as dollars would distort the valuation. The conversion convention is explicit throughout this packet.
Our share denominator is 172.434 million, the quarter's weighted basic and diluted ordinary shares, used as a transparent proxy for both share classes together. It is not the Class A free float. Multiplying the price by that proxy gives $3,536.621 million of equity value, close to but not identical to FMP's $3,540.444 million market capitalization. Small share-basis differences do not alter the conclusion. A takeover premium, future stadium value or a forecast of the next match result is not embedded as an assured payoff.

Fiscal 2026 revenue was £677.649 million, up 1.67% from £666.514 million. Adjusted EBITDA increased 18.37% to £216.407 million. Operating profit recovered to £22.635 million from an £18.430 million loss. Those are real improvements, supported by lower operating costs and stronger domestic broadcasting revenue. They coexist with a larger annual net loss of £42.954 million, versus £33.023 million, because the financial costs below operating profit increased sharply.
The final quarter was weaker than the annual headline. Revenue fell 4.07% to £157.500 million and adjusted EBITDA declined 23.06% to £28.861 million. The quarter's operating loss was £15.025 million; net loss reached £28.720 million, compared with £3.897 million a year earlier. Last year's quarter benefited from significant finance income. This makes the annual record a poor shorthand for every part of the current earnings picture.
The income statement presents twelve months first and three months second, with 2026 before 2025 within each pair. Statement figures are in thousands of pounds, while earnings per share are in pence. Annual loss per share of 24.91 pence means £0.2491, not £24.91 and not $0.2491. Quarterly loss per share is 16.66 pence, or £0.1666. Our nine-quarter table follows the actual period headers, preventing a cumulative figure from being mislabeled as a standalone quarter.
The release calls these preliminary unaudited results and says audit work for the fiscal 2026 Form 20-F is still in progress. It warns that adjustments may emerge. That is an evidence limitation, not proof of a current unresolved filing delay. The saved eligibility review cleared the current issuer and security. We make no earnings-beat claim because the saved vendor consensus fields do not establish a reliable currency and per-share basis. A precise percentage built on incompatible inputs would be less informative than openly leaving that comparison unavailable.

The business reports one operating segment: a men's and women's professional football club. Commercial, broadcasting and matchday are revenue categories, not separately reported profit centers. We can show which sources changed, but cannot manufacture a margin for sponsorship or broadcasting. The distinction matters because the club's playing squad and facilities support several revenue streams at once, making a simple allocation of shared costs arbitrary.
Broadcasting revenue increased to £206.8 million from £172.9 million as the men's first team finished third in the Premier League, compared with fifteenth in the prior season. The club did not participate in UEFA competitions during fiscal 2026. Domestic performance nevertheless offset that absence in the broadcasting line. Champions League qualification now brings a larger opportunity into the next fiscal year, accompanied by contractual player compensation and other participation costs.
Commercial revenue declined to £317.3 million from £333.3 million. Sponsorship revenue of £160.5 million fell £27.9 million, while retail, merchandising, apparel and licensing revenue increased £11.9 million to £156.8 million. The former training-kit agreement with Tezos expired before the season. Retail growth also included a full twelve months of the new ecommerce operation versus ten months, plus a one-off credit that the release does not quantify. That makes extrapolating the entire retail increase into recurring organic growth unwarranted.
Matchday revenue fell to £153.5 million from £160.3 million. The club hosted twenty home matches across the listed competitions, versus thirty a year earlier: nineteen Premier League games in both years, no UEFA home games versus seven, and one domestic cup home game versus four. Fewer fixtures affected both revenue and matchday costs. New Betway training-kit and SumUp sleeve partnerships are relevant commercial developments, but their contract values are not disclosed here. We do not insert invented sponsorship dollars into the forecast.

The annual profit bridge starts with £677.649 million of revenue and £701.895 million of operating expenses. Profit on disposal of intangible assets contributed £46.881 million, leaving £22.635 million of operating profit. Player-disposal accounting therefore matters to reported operating earnings. It is not identical to the £148.612 million of disposal cash received, which can relate to payments for transactions recognized in other periods.
Net finance costs of £69.620 million turned operating profit into a £46.985 million pretax loss. The tax credit of £4.031 million reduced the net loss to £42.954 million. The financing line includes cash interest, foreign-exchange effects and other accounting items; treating it all as interest cash paid would be incorrect. The cash-flow statement separately reports £38.845 million of interest paid. Economic leverage has a real cost even when some reported finance volatility is noncash.
Adjusted EBITDA of £216.407 million reconciles from operating profit by adding £211.813 million of amortization, £20.631 million of depreciation and impairment, and £8.209 million of exceptional costs, then removing £46.881 million of disposal profit. The arithmetic is exact. Player registrations are amortized over their useful contractual lives, but rebuilding a competitive squad requires ongoing investment. EBITDA's exclusion of that amortization is useful for one comparison and dangerous if mistaken for distributable cash.
Employee expenses fell to £302.0 million and other operating expenses to £159.2 million. Management attributes the savings partly to squad changes, restructuring and fewer home matches. The annual exceptional charge fell from £36.626 million to £8.209 million, but the current quarter contains an exceptional credit of £8.477 million. Annual and quarterly adjustment signs differ. Removing the quarter's credit reduces, rather than increases, adjusted earnings. No blanket rule that all adjustments improve the current quarter is used in this analysis.

Our quality scorecard gives credit for the low stock-based-compensation amount in the cash-flow reconciliation, but does not equate that number with low employee costs. The £0.243 million noncash line is only 0.036% of revenue. Football compensation is primarily a broader operating expense. The full adjustment from IFRS net loss to adjusted net loss also includes exceptional items, foreign exchange on unhedged borrowings, the embedded derivative and a normalized tax charge or credit.
Adjusted net loss was £21.566 million versus an IFRS loss of £42.954 million. The company uses a twenty-five-percent normalized tax basis in its reconciliation, while the actual annual tax credit was 8.58% of the pretax loss. Neither adjusted loss nor a tax credit produces cash by itself. A deferred-tax asset of £29.997 million depends on the relevant future tax conditions, so it should not be added to cash as though available for paying suppliers today.
Operating cash inflow increased to £178.715 million from £72.702 million. However, £164.077 million arrived in the fourth quarter, representing 91.81% of the annual total. Football cash receipts and payments are seasonal, and deferred revenue can rise before the associated service is delivered. The balance sheet shows current deferred revenue of £210.814 million. That cash may help fund the season, but it brings performance obligations rather than creating free capital with no claim attached.
The release explicitly says the lower net intangible investment reflects monetization of future-dated transfer receivables and stronger contractual player-receivable cash flows. It does not quantify the monetization component. We therefore neither call all disposal receipts organic recurring cash nor label all of them accelerated financing. A cleaner future cash result would disclose that split and demonstrate positive cash after maintaining the playing squad. Simple working-capital ratios use closing balances and mixed accounts here, so they are diagnostics rather than claims of accounting misconduct.

Cash at June 30 was £67.246 million. Noncurrent borrowings were £577.554 million and current borrowings £111.400 million. Their sum less cash gives our defined net debt of £621.708 million, up £70.839 million from the prior year. This excludes lease liabilities and other operating liabilities. It is a consistent valuation convention, not a claim that borrowing is the only obligation ahead of shareholders.
The face amount of noncurrent dollar debt increased to $775 million from $650 million following the senior-note refinancing. The release describes net refinancing proceeds including issuance costs of about £89.5 million, partially offset by £50 million of net revolving-credit repayments. A lower revolver draw is therefore not proof of lower total leverage. The new long-term borrowing and currency translation must be included. At the year-end the revolver cash draw was £110 million; the current borrowing line also includes accrued interest.
The cash bridge is straightforward: £178.715 million of operating inflow minus £85.919 million of property spending minus £292.267 million of intangible payments plus £148.612 million of disposal receipts equals a £50.859 million outflow before financing. Property spending includes £63.5 million for land associated with the proposed stadium. Removing only that land purchase leaves £12.641 million positive, but that figure still benefits from the disclosed acceleration or collection of player receivables. It is a sensitivity, not a clean owner-earnings estimate.
The club's ambition is a new 100,000-seat stadium. The saved release establishes the land investment and ambition, not a complete construction budget, funding plan or guaranteed return. We assign no free stadium uplift in our base value. Capital could come from additional debt, equity, partners or another structure, and the consequences for listed shareholders would differ. Transfer payables sit within broader trade-payable accounts; blindly adding every trade payable to debt while capitalizing EBITDA would also misstate the model. The detailed future filing should clarify those commitments.

Our base value is $13.50 per share, about 34.18% below the $20.51 reference. The bear, base and bull values are $8, $13.50 and $22, weighted thirty, fifty and twenty percent. Their weighted value is $13.55. These are subjective scenarios rather than probabilities inferred from market options or historical frequencies. High uncertainty reflects sporting outcomes, player investment, refinancing and stadium funding, as well as the absence of a clean recurring distributable-cash baseline.
Route one applies eleven times the £215 million midpoint of management's fiscal 2027 adjusted EBITDA guidance. Subtracting £621.708 million of defined net debt gives £1,743.292 million of equity; translating at 1.33709 and dividing by 172.434 million shares yields $13.52. We round that to the $13.50 base. Eleven times is our judgment, not an empirically established peer median. It still grants a valuable global franchise substantial credit despite weak cash conversion. Lease and transfer commitments are not separately capitalized in this convention, which is another reason to avoid claiming liquidation precision.
Route two values the £750 million revenue midpoint at three times sales, then uses the same debt, exchange rate and share bridge. It produces $12.63. A revenue multiple is a coarse franchise cross-check, not proof that all revenue creates equal value. Route three is an equity-cash-flow model: zero distributable cash for three years, then an assumed £150 million in year four growing at two percent, discounted at ten percent. The value is £150 million divided by eight percent, divided by 1.10 cubed, converted to dollars per share: $10.92. No second debt deduction is made because this is after-interest equity cash flow.
That £150 million is a deliberately demanding recovery assumption after player spending and maintenance investment, far above the current all-investment outflow. It is not management guidance, and the model assumes no incremental dilution. It does not fund an unspecified stadium for free. At today's reference price, enterprise value is £3266.7 million, or 15.19 times the guided EBITDA midpoint. At our eleven-times multiple, that price instead requires approximately £297.0 million EBITDA. Alternatively, the equity-cash model requires £281.6 million in year-four cash with the same delay and discount rates. The market is already paying for much more than the guidance alone supplies.

The saved FMP target aggregate is $17.95, with a $16.90 low and $19 high. The separate ratings aggregate contains four buys and six holds, with no strong buys, sells or strong sells, and an overall Hold label. These arrays need not cover the same analyst population. The average target is below the reference price but above our base value; that comparison is descriptive rather than evidence that analysts have digested the new results.
The identifiable named target observations are old. Deutsche Bank's $16.90 observation is dated October 23, 2024; Jefferies' $19 observation is dated April 10, 2022. The saved ratings history also predates this print. We have not read private broker notes and do not infer their current models, conviction or reasoning. Presenting those records as fresh coverage would give a thin data feed an authority it does not deserve. The packet keeps their dates adjacent to the numbers.

Our disagreement with the target aggregate is about cash and the price of optionality. We accept that a global sports franchise can trade above a mechanical near-term cash model. The eleven-times EBITDA base already grants a substantial franchise value, and the bull case permits a higher multiple alongside stronger operating performance. We do not pay today as though a control transaction or fully financed stadium is assured. New, clearly dated broker research could add useful context, but it would still need to be assessed against the same shareholder-cash and funding tests.

Management deserves credit for the improved league finish, qualification for the Champions League and the reduction in operating costs. The current fiscal year combined record revenue with a higher adjusted EBITDA margin despite fewer home fixtures. That is evidence of progress. It is not yet evidence that the listed shareholders can receive a reliable growing stream of cash after squad investment, interest and facilities spending.
The company introduces fiscal 2027 revenue guidance of £740 million to £760 million and adjusted EBITDA of £205 million to £225 million. It specifically links the outlook to Champions League participation and associated player staff-cost increases. Comparing midpoints, revenue increases sharply while adjusted EBITDA is roughly flat. This is the operating bargain of elite football: success opens revenue opportunities while also triggering the spending and compensation needed to compete. The model should incorporate both sides rather than count the European revenue alone.
Control and economic ownership are separate issues. The fiscal 2025 Form 20-F describes one vote per Class A share and ten per Class B share, with Class B convertible into Class A. It reported the Glazer descendants at 67.91% of voting power and INEOS at 28.95%, as of that filing's ownership disclosure. Those are historical filing observations, not a claim that today's holdings are unchanged. Both classes must be represented in the equity denominator, while outside Class A investors cannot assume they direct capital allocation.
PricewaterhouseCoopers LLP was the independent auditor in the latest completed annual report. Average permanent employees were 932 in fiscal 2025, versus 1,140 in 2024 and 1,112 in 2023; the new release does not provide a fresh comparable annual employee count. We retain the dates rather than relabel a profile field as current headcount. The current results remain unaudited. A forthcoming annual filing is the appropriate place to reassess commitments, ownership, controls and the detailed accounting behind the preliminary numbers.

The highest operating risk is failure to sustain the sporting performance that supports broadcasting, matchday and commercial income. A weaker finish or early exit from competitions can remove revenue while many player and infrastructure costs remain committed. Injury, recruitment and coaching outcomes are difficult to forecast. We do not assign a precise probability to any match or qualification event; our lower-earnings scenario captures the financial consequence of disappointment without pretending to predict the fixture list.
Funding is the second major risk. Net debt has increased, player investment is recurring, and the stadium ambition can require substantial additional capital. A project can be strategically attractive and still dilute existing shareholders or subordinate their cash claims. Refinancing reduces an immediate maturity problem but does not erase the obligations. Currency movements also change the dollar value of sterling equity cash flows and the sterling carrying burden of dollar borrowings. Our fixed exchange rate is a valuation convention, not a currency forecast.
The bull case is credible: sustained Champions League participation, better commercial monetization and more disciplined squad spending could make revenue growth translate into cash. Our bull operating assumption is £250 million EBITDA at fourteen times, with current defined net debt, producing about $22.32 before rounding to $22. The bear assumes £175 million EBITDA, a ten-times multiple and £700 million net debt, producing about $8.14 before rounding to $8. These cases show how operating and capital-allocation outcomes interact.
The base applies the midpoint guidance at eleven times and rounds to $13.50. Three routes share assumptions and are not independent statistical confirmations. A control buyer might pay for strategic benefits that a minority public shareholder cannot capture, and that possibility can support the price for long periods. Our SELL expresses an unattractive expected value under the stated cash framework; it is not a claim that the stock cannot rally or that the football club lacks value. We would revisit the call if cash generation, financing terms or the price materially improved.

The next detailed information event is the fiscal 2026 Form 20-F when filed. This packet does not invent its filing date or imply the audit is complete. We want confirmation of the preliminary results, the transfer-receivable monetization amount, the maturity structure and the player-payment commitments. Changes to any of those items could alter the cash and leverage assessment without changing the record-revenue headline.
For fiscal 2027, ending June 30, 2027, the key benchmark is not revenue alone. The company guides to a larger top line and approximately flat adjusted EBITDA at the midpoint. We want evidence that participation-related costs remain inside the plan and that the increased revenue converts to cash after squad investment. Results at the high end of both ranges would be constructive; a larger revenue figure coupled with weaker EBITDA would reinforce the current concern.
Our six signposts use explicit numerical thresholds: revenue, EBITDA, margin, all-investment cash flow, net debt and the valuation discount. Period-end labels are checkpoints, not invented release dates. Positive all-investment cash flow matters more than an OCF number that omits player acquisitions. Net debt below £600 million would improve flexibility, while debt above £700 million would raise the burden on minority equity. These are editorial thresholds, not loan covenants or a forecast of default.
At a price below $10.80, representing a twenty-percent discount to our $13.50 base, we would reconsider the valuation if the underlying thesis remained intact. Stronger proven cash generation could instead justify increasing the base value. A price decline by itself would not repair worsening fundamentals, just as a winning run would not automatically resolve stadium financing. The next packet should grade these same tests explicitly. There is no prior Charged Alpha MANU episode identified, so this is the starting accountability framework.

All operating and balance-sheet amounts shown in millions are pounds sterling unless a dollar sign is explicitly present. EPS converts pence to pounds; valuation then converts sterling equity to dollars using the stated market-date FX rate. The quarter's weighted total ordinary shares are a proxy rather than a claim about the exact latest outstanding count. Net debt means current plus noncurrent borrowings less cash; it excludes leases and operating liabilities. Cash after all investment means operating cash flow plus investing cash flow, before financing and cash FX effects.
Adjusted EBITDA and adjusted net loss are company alternative performance measures. Our cash-after-investment and valuation measures are analyst calculations, not additional company guidance. Disposal profit is an income-statement gain; disposal receipts are cash settlements and can occur in another period. Player registrations appear as intangible assets, not merchandise inventory. Revenue categories do not constitute separately disclosed operating segments. These definitions prevent superficially similar line items from being substituted into the wrong calculation.
The limitations are material and visible: no verified post-print stock reaction, no comparable consensus beat calculation, no fresh identified broker response, no quantified monetization split, no completed fiscal 2026 audit and no fully specified stadium financing plan. A missing number remains missing. Historical ownership and employment observations retain their dates. The resolved historical corporate transactions are not treated as permanent eligibility exclusions; the current saved issuer screen is clear.
