TD SYNNEX enters this print with a demanding combination: a much stronger earnings engine and a larger funding requirement. Our HOLD is a valuation judgment on that combination. We estimate $280 per share of base value, with high uncertainty and conviction of three out of five. The saved FMP reference is $256.60, timestamped September 24 at 12:31:00 UTC, or 08:31 Eastern. It is a thin pre-market trade, approximately 10.9% below the $287.89 prior regular close. The nearby quote was unusually wide: $246.20 bid and $262.96 ask. This is early trading evidence, not a completed regular-session result.
The distinction matters because an early trade in a wide market may not represent the price at which a larger position can be transacted. This packet freezes the actual timestamp so a viewer can separate the investment argument from subsequent trading. Fair value is a model output, not a prediction of the next session. At the reference price, the base case offers approximately 9.1% price return before dividends. That is insufficient compensation for uncertainty about how quickly inventory and customer balances become cash.
The market can reasonably see a business with growing strategic importance. Distribution connects vendors, resellers and end customers; Hyve designs and manufactures infrastructure. Higher volume spread across a relatively controlled expense base is valuable. But the market capitalization represents a claim on future cash after suppliers, lenders, employees and taxes have been paid. An increase in sales that requires a matching increase in permanently financed inventory is less valuable than identical growth with stable working capital.
Our required margin of safety is a judgment, stated explicitly: twenty percent below the base case, or $224, assuming the operating thesis remains intact. That is a research entry threshold, not a limit order or a claim the stock will trade there. A better cash record could raise fair value instead. The correct next question is therefore not whether growth is impressive; it is how much of the new profit belongs to shareholders after the business finances that growth.

Revenue reached $21.558 billion, up 37.7% from the comparable quarter. Gross profit increased 26.2% to $1.425 billion, a slower rate than revenue. The resulting gross-margin decline is real: the release reports 6.61%, versus 7.22% a year earlier. A distributor can nevertheless create considerable value through scale if the selling and administrative organization does not grow at the same speed as the goods flowing through it. That happened this quarter.
Selling, general and administrative expense rose only 4.9%, to $782.5 million. Consequently, GAAP operating income rose 67.6% to $642.9 million. The computed incremental operating margin on the additional revenue is 4.39%, above the consolidated average. This is a useful measure of operating leverage, but it is not a promise of the margin on the next dollar of sales. Product mix, customer contracts, compensation and investment can change it.
Adjusted operating income of $736.4 million grew 55.1%. Both GAAP and adjusted operating profit improved, which makes the result stronger than a quarter explained only by exclusions. Adjusted diluted earnings per share reached $5.68. Management says revenue, gross billings and adjusted EPS exceeded the high end of its prior outlook. We distinguish that issuer statement from an independent consensus beat: the quarterly FMP estimates endpoint was unavailable, so this packet does not manufacture a quarterly Street surprise percentage.
Fourth-quarter guidance calls for $21.8 billion to $22.6 billion of revenue and adjusted EPS of $5.65 to $6.15. Adding the revenue midpoint to the nine-month result produces an implied full-year revenue total of $80.494 billion. Adding the EPS midpoint produces $21.15; that addition is an indicative arithmetic bridge, not a replacement for a full-year two-class EPS calculation with a consistent denominator. Guidance is encouraging because it implies another strong quarter rather than an immediate reversal. It still does not guarantee cash collection.

Management identifies Distribution and Hyve as contributors that both exceeded its expectations. That is a useful qualitative statement, but the current release does not publish a numerical revenue-and-profit split for those two businesses. We do not infer Hyve revenue by assigning all incremental consolidated revenue to AI infrastructure, and we do not turn the CEO's growth language into a segment margin. The latest complete quarterly filing is the May-quarter 10-Q; the August-quarter 10-Q was not yet present in the reviewed EDGAR record.
This disclosure boundary affects the valuation. A higher multiple for contract manufacturing or infrastructure exposure needs evidence of durable returns on the additional capital, customer concentration, and cash requirements. A consolidated earnings beat does not supply each of those facts. The distributor's service contracts and fulfillment arrangements also complicate top-line comparisons because certain costs are netted against revenue when the company acts as an agent.
Non-GAAP gross billings are $31.828 billion, whereas reported revenue is $21.558 billion. The $10.269 billion difference is the disclosed gross-to-net adjustment, not missing revenue, a cash receivable, or a profit pool that should be capitalized separately. Gross billings help describe transaction volume. Revenue and gross profit remain necessary to understand how much economic value the company retains. Counting billings and revenue as two independent sources of sales would double-count activity.
Currency was not the explanation for this quarter's strength. Reported revenue growth was 37.7% and constant-currency growth was 38.4%, according to the release. The current-quarter currency adjustment adds about $100 million to reported revenue for comparison purposes. That adjustment is not additional cash flow. We will use the coming quarterly filing to update the segment and concentration analysis, while retaining the consolidated cash and profit evidence already available. The investment case is strong enough to analyze now without pretending missing segment detail is known.

Latest numerical segment evidence is from Q2, not this Q3 release. In fiscal 2026 the company changed from three geographic segments to four: Americas distribution, Europe distribution, APJ distribution and Hyve Solutions. The May-quarter 10-Q recasts comparative periods. Hyve generated $2,965.6M of revenue and $178.8M operating income in that earlier quarter. These charts provide the latest filed operating mix without assigning an undisclosed Q3 split. Older geography tables in the source archive retain their original reporting perimeter and must not be spliced into the new series unadjusted.

The route from operating performance to shareholder earnings is more complicated than the headline suggests. Start with $736.4 million of adjusted operating income. Subtract $75.2 million of acquired-intangible amortization, $16.3 million of share compensation and $2.1 million of acquisition, integration and restructuring costs to reach $642.9 million of GAAP operating profit. The largest exclusion is amortization rather than stock compensation. It can be reasonable to inspect profit before acquisition amortization, but the underlying customer relationships still need to be maintained.
Interest and finance charges consumed $120.5 million, leaving less of the operating improvement for owners. Other income of $32.9 million raised pretax income to $555.3 million. The tax provision was $139.0 million and net income was $416.2 million. Operating income covered quarterly interest about 5.33 times. That is meaningful coverage, although borrowing to finance expanding working capital makes the interest burden part of the growth story rather than a footnote.
The adjusted net-income bridge also removes $37.4 million of dividends and gains on investments. Those benefits improve GAAP results but do not demonstrate a repeatable distribution margin. They partly offset the usual expense exclusions, which helps explain why adjusted net income is only 9.5% above GAAP net income even though the operating-income bridge is larger. We credit the operating improvement without automatically capitalizing investment income at an operating multiple.
Diluted EPS uses the two-class method. The release says approximately 1.1% of quarterly net income was allocated to participating securities, including eligible restricted awards and vested but unexercised warrants. Dividing total net income directly by 79.413 million diluted common shares therefore does not reproduce reported EPS exactly. The guidance similarly anticipates a participating allocation. Our valuation uses a clearly stated forward share convention and normalized per-share earnings; it does not quietly claim that total consolidated profit all accrues to ordinary common shares without adjustment.

The cash-flow statement is the strongest challenge to an uncomplicated bullish reading. Quarterly operating cash flow was negative $916.7 million despite positive net income. Capital spending of $58.9 million left negative free cash flow of $975.6 million. The comparable quarter generated $213.9 million of free cash flow. Growth can create a temporary cash deficit before customer collections arrive, so this is a timing and funding question rather than proof that the reported sales are invalid. It is nevertheless a substantial claim on capital.
Accounts receivable used $1.993 billion of cash in the quarter and inventory used another $1.420 billion. Accounts payable supplied $1.310 billion, while other operating assets and liabilities supplied $704.5 million. These lines show why looking only at a net working-capital number can hide the gross funding exposure. Suppliers finance a large part of the business, and customer collections must ultimately settle the remaining obligation. A favorable payable movement is valuable liquidity, but it is not interchangeable with cash collected from customers.
Ending-balance day proxies are approximately 63.8 days for receivables and 69.9 days for inventory, using a 92-day fiscal quarter and reported revenue or cost of revenue. Payables are approximately 102.6 days on the same cost base. These are analytical proxies, not company-reported cycle statistics: averages would be better than ending balances, seasonal business changes the denominator, and gross-to-net sales presentation affects comparability. We display the method rather than give false precision to a conventional label.
The quality scorecard deliberately keeps several judgments separate. Stock compensation is small relative to revenue, but remains a real owner cost. Tax expense looks economically plausible; investment benefits merit caution; cash conversion is weak; and the current-quarter guidance result is favorable based on management's statement. No single colored score cancels another. A distributor can have authentic operating improvement and poor near-term free cash flow simultaneously. The next filing should help establish whether the additional capital supports repeat business or an unusually expensive surge in volume.

Inventory at quarter end was $15.292 billion, up 60.9% from the prior fiscal year end. Accounts receivable rose to $14.954 billion, up 27.7% on that same comparison. Those percentages are sequential year-to-date balance changes, not year-over-year growth rates. Comparing them directly with quarterly year-over-year sales growth without labeling the periods would be misleading. Their scale nevertheless makes the capital requirement clear.
Cash fell from $2.435 billion to $749.3 million. Current and long-term borrowings total $5.522 billion, producing $4.772 billion of net debt versus $2.175 billion at the prior year end. Net debt here means borrowings less cash; it excludes leases and does not net customer receivables against debt. Receivables and inventory are essential operating assets that must fund payables and other obligations, so treating all of them as surplus cash would overstate equity value.
For the first nine months, free cash flow was negative $2.237 billion. Inventory alone used $5.784 billion of cash, partly financed by $4.798 billion from payables. The company also paid $115.6 million in dividends and repurchased $292.4 million of common stock. Those are actual financing cash uses, not deductions in the free-cash-flow definition. Continuing returns can express management confidence, but the evidence does not support describing those distributions as funded by current-period free cash flow.
The dividend declaration is $0.48 per common share, payable October 30 to holders of record October 16. That is a declared cash commitment, whereas future repurchases remain discretionary. Outstanding common shares computed from issued shares less treasury shares are 79.059 million at the balance-sheet date. We keep that actual count separate from the quarter's weighted diluted count and the 79.2 million guidance assumption. Share repurchases can support per-share results, but additional borrowing and participating awards matter to what each remaining share receives.

Our base value is $280. Each route uses analyst assumptions rather than disguising a management forecast as intrinsic value. The first capitalizes $20 of normalized per-share earnings at fourteen times, producing $280. That earnings assumption is below the indicative $21.15 full-year adjusted bridge and below annualizing the latest quarter. It allows room for recurring owner costs, financing needs and a less exceptional earnings mix. The multiple is a judgment about durability; it is not asserted to be a verified peer median.
The second route values $2.9 billion of normalized adjusted operating profit at 9.3 times, subtracts $4.772 billion of current net debt, and divides by 79.2 million shares. The result is $280.27. This operating-profit base is an adjusted measure, with the limitations of amortization and compensation exclusions. We use it as a cross-check, while the earnings and cash routes apply separate normalization. We do not add intangible assets or inventory on top of enterprise value; those assets support the profit already being capitalized.
The third route starts with $1.3 billion of normalized annual cash flow to equity, grows it eight percent for five years, discounts at 10.5%, and uses three percent perpetual growth thereafter. Dividing by 79.2 million shares gives $277.71. This is a cash recovery assumption, not the trailing free cash flow. Equity cash flow is after interest and maintenance and growth reinvestment; net debt is therefore not subtracted a second time. A large terminal-value contribution makes this route especially sensitive to whether cash conversion normalizes. It should not be read as a precise forecast.
At $256.60, the model equity value is $20.323 billion and enterprise value is $25.095 billion using the chosen share count. The market pays 12.83 times our normalized EPS or 8.65 times our normalized adjusted operating profit. Those are not outrageous multiples if the earnings improvement lasts. The roughly nine-percent base-case cushion is still smaller than our twenty-percent requirement against a funding disappointment. Our scenario range of $190 to $364 is intentionally wider than the three base-route outputs, because those routes share the same underlying economic uncertainty.

The saved FMP target consensus is $328, with a $287 low and $352 high. These are provider aggregates, not a fresh post-release poll. The latest saved individual entries include Morgan Stanley at $334 dated September 15 and Barclays at $287 dated September 8. Both predate the September 24 results. Older entries include UBS at $352 and RBC Capital at $340 on June 26. Calling these targets an analyst response to this print would be inaccurate.
The comparison is useful precisely because we state its limits. Charged Alpha's $280 base is below the saved target mean. Our principal difference is the margin of safety required while the balance sheet funds fast growth. We do not infer that a higher target means its author ignored cash flow; the full bank research models are not in the source set. FMP target-news records are market context and attribution, while issuer filings control the company's operating facts.
Annual consensus in the saved provider response is also a mixed-vintage snapshot. Fiscal 2026 revenue averages $75.223 billion, based on eight analysts, and EPS averages $19.15, based on seven. Those figures are below the release-based revenue bridge of $80.494 billion and indicative adjusted EPS bridge of $21.15. That gap suggests the saved aggregate is not fully refreshed for the new information. It is not proof of an incremental surprise to every analyst and it is not management's official annual EPS forecast.
For fiscal 2027, the saved estimates show $80.872 billion revenue and $21.89 EPS. A revision cycle may follow the release. We prefer to show the dates and counts rather than combine stale annual estimates with fresh quarterly guidance into a spurious precision. The evidence that would narrow our disagreement is an updated earnings path accompanied by credible cash conversion. Target changes without corresponding funding and working-capital assumptions would add less to the analysis than a clear explanation of how the growth finances itself.

Management deserves credit for translating volume into operating profit. The combination of much faster gross-profit growth than SG&A growth is a concrete execution result. The next-quarter outlook also supports the view that demand remains strong. Our management assessment therefore separates operational delivery, which is positive this quarter, from capital conversion, which needs further evidence. This is a more useful distinction than calling the entire report good or bad.
The CEO's discussion centers on broader enterprise AI deployment, data-center modernization and new security and governance requirements. Those themes explain why customers may be spending. They do not specify how quickly customers pay, which party owns inventory during production, or how much permanent capital the expansion needs. We would ask for those contract economics before applying a substantially higher terminal multiple. High demand is most valuable when the company can serve it at an attractive return on incremental capital.
Capital allocation also needs a consistent yardstick. The quarter returned approximately $139 million through repurchases and dividends while free cash flow was negative. The board can reasonably decide that liquidity and future collections support those payments, but investors should monitor the trade-off against net debt and interest expense. A lower share count improves per-share economics only if the price paid and financing costs make sense. Shareholder distributions are not themselves proof of shareholder value creation.
Five questions frame the next review: how much of the inventory increase is contractually committed; when major customer receivables should convert; whether supplier-finance terms changed; how participating warrants affect future per-share profit; and what cash return management expects on the new working capital. We would prefer quantified answers with dates. Until then, our HOLD credits the improved income statement while preserving a high uncertainty rating for the cash path. The current release is sufficient to establish the print, but subsequent filings may materially improve the quality of the investment decision.

The first risk is that working-capital absorption lasts longer than expected. Its likelihood is material because the current growth rate is high and balances are large; its impact is high because cash has fallen and debt has risen. A business can remain profitable while becoming more financially demanding. The failure mode is not necessarily a collapse in sales. It can be excellent reported growth that keeps requiring another round of financing before owners receive free cash.
The second risk is mix and margin normalization. The current operating improvement depends on expense leverage overcoming a lower gross margin. If customer concentration increases, competitive pricing intensifies or expenses catch up with revenue, that leverage can weaken. The third is financing exposure: interest and finance charges already consume a meaningful portion of operating income. Supplier-finance availability and lender terms matter to this model, even though accounts payable should not simply be classified as ordinary financial debt.
The strongest bull case is that the inventory build is preparation for durable demand, supplier terms remain supportive, collections catch up, and the business earns a higher level of profit with only a temporary cash lag. Under that case, $26 of normalized EPS at fourteen times supports $364. The strongest bear case is that growth requires persistent reinvestment and the market lowers the multiple as cash disappoints. Nineteen dollars at ten times supports $190. Those are our scenarios, not management guidance.
We assign one-quarter probability to each outer case and one-half to the $280 base. The resulting probability-weighted value is $278.50, slightly below the base. These probabilities express judgment and should change with evidence. They are not measured frequencies or a statistical confidence interval. The wide range explains why a price near the base deserves patience. It also explains why a lower price would not automatically be a bargain if the underlying customer, margin or financing facts deteriorate at the same time.

The next decision should be driven by a small set of measurable developments. First, the coming quarterly filing can clarify segment mix, concentration, financing programs and warrants. We set an October 15 review checkpoint for that information; this is our research date, not an assertion that the company has announced a filing date. The distinction preserves a useful calendar without inventing a corporate commitment.
The fourth quarter ends November 30. At the next results release, we will compare revenue with the stated $21.8 billion to $22.6 billion outlook and adjusted EPS with $5.65 to $6.15. We use January 15 as a follow-up research checkpoint, not a confirmed earnings appointment. Delivering EPS while cash continues to fall would be a mixed outcome. Converting working capital while maintaining operating profitability would be much stronger evidence for raising value or reducing the required margin of safety.
Our cash signposts are deliberately demanding but simple: positive quarterly free cash flow, net debt below $4.5 billion, inventory below $15 billion and adjusted operating margin at or above 3.4% would support the base case. These are analyst thresholds, not company promises. Conversely, another cash outflow exceeding $500 million, net debt above $5.5 billion, inventory above $17 billion or margin below three percent would challenge the assumed normalization. A single number should be interpreted alongside seasonality and the sales actually delivered.
The declared dividend has specific dates: October 16 is the record date and October 30 the payment date. Those dates are useful housekeeping, not the core catalyst. The larger event is whether the earnings engine begins funding itself. We will grade these signposts in the next packet using the same definitions. No historical Charged Alpha valuation is reconstructed from a prior video title, and the former quarter's stock-reaction framing is not repeated here. This quarter earns its own thesis from its own statements.

Corporate structure and concentration. TD SYNNEX is a Delaware domestic issuer with common stock on the NYSE, not an ADS listing. The FY2025 auditor is KPMG LLP, PCAOB firm 185. The annual report identifies approximately 24,000 full-time employees and 6,000 contractor equivalents. Products sourced from Apple represented 12% of fiscal 2025 revenue and HP 10%; one customer represented 11%. The March 2024 $2B repurchase authorization had no expiration and $1.2B remained at November 30, 2025; that is a dated authorization balance. Detailed voting terms and prior-year headcounts are not reconstructed from unavailable exhibits.
