Uxin closed September 24 at $1.30 per ADS, up 19.3% from the prior close after releasing results before the market opened. Volume reached 16.1 million ADSs, about 71 times the provider's stored average. That reaction is evidence that investors welcomed the unit growth and promised margin rebound. It is not evidence that the quarter was profitable. The financial statement says the opposite: gross margin was negative 0.7%, operating loss was RMB151.9 million and operating cash outflow was RMB63.8 million.
Our rating is HOLD with two-out-of-five conviction and a probability-weighted value of $1.12 per ADS. That value is 13.8% below the close, yet the modeled range is unusually wide at $0.20 to $3.02. A narrow verdict would pretend to know how quickly a fragile balance sheet, very fast growth and volatile used-car prices resolve. HOLD means the price is too close to the uncertain center for a clean directional call; it does not mean the risk is modest. We would require a larger discount or stronger evidence before treating the shares as an attractive entry.
The year range warns against reading too much into one day. UXIN traded as high as $4.18 in January and as low as $0.8963 in August. The current price remains roughly 69% below that high even after the earnings-day jump. A financing price of $2.859 per ADS also sits well above the market. That negotiated price is useful evidence, but it is not a guaranteed appraisal: cash arrives in installments, closing conditions matter, and the share count expands as subscriptions settle.
This packet asks one question throughout: can Uxin convert rapid vehicle growth into enough gross profit and cash to support its stores, lease claims and dilution? Volume is the opening fact. Unit economics and funding determine what that fact is worth to an ADS holder. The research process separates management's outlook, observed cash receipts and our analytical assumptions so a favorable story cannot silently become a financial fact.

Transaction volume reached 21,899 units and retail volume reached 19,610. Those figures grew 88.7% and 88.8% from the year-earlier quarter. Revenue rose 74.9% to RMB1,151.2 million. The company has built a much larger retail operation: retail volume is almost five times its June 2024 level, and revenue is nearly three times that starting point. Growth on this scale is commercially meaningful.
The revenue growth did not become gross profit. Cost of revenue was RMB1,159.8 million, greater than revenue, producing an RMB8.6 million gross loss. Gross margin fell from 7.0% in March and 5.2% a year earlier to negative 0.7%. Management attributes the decline to aggressive new-car price reductions, falling used-car prices and weaker gasoline-car demand as oil prices rose. It says Uxin sold affected inventory quickly to reset the book. That explanation is plausible; inventory fell 34.4% from December. The write-down in economics is still borne by current shareholders.
Operating expenses were RMB145.3 million, versus RMB96.7 million a year earlier. Sales and marketing was the largest line at RMB119.2 million. Operating loss widened to RMB151.9 million from RMB43.1 million a year earlier. Net loss was RMB178.4 million, and adjusted EBITDA loss was RMB119.8 million. Both GAAP and the company's preferred measure worsened sharply, so this is not a quarter where accounting exclusions reverse the operational conclusion.
Management guides the September quarter to 20,500–21,000 retail vehicles, RMB1,160–1,190 million of revenue and gross margin above 6%. The volume midpoint is only about 5.8% above Q2, while the margin promise requires a swing of more than 6.7 percentage points. The next print is primarily a margin test, not a volume test. A successful reset would show that Q2 cleared old inventory rather than exposing a structurally weak spread between vehicle purchase and sale prices.

Retail vehicle sales supplied RMB1,080.8 million, or about 93.9% of current revenue. Wholesale vehicle sales contributed RMB37.4 million and other revenue supplied the remaining RMB32.9 million. Uxin is economically a used-car retailer with associated services, not a high-margin marketplace that can scale revenue without carrying vehicles and physical infrastructure. That distinction explains why inventory pricing, throughput and lease commitments dominate the investment case.
Retail revenue per retail vehicle fell to about RMB55,116 from RMB58,508 a year earlier, a decline of roughly 5.8%. That result is consistent with management's description of falling used-car prices. Sales-and-marketing expense per retail vehicle improved to approximately RMB6,079 from RMB7,146. Scale is helping customer-acquisition and staffing cost per unit, but that saving was overwhelmed by the decline in vehicle economics this quarter. A lower expense per unit is encouraging only after each vehicle contributes positive gross profit.
The long-term opportunity depends on repeating the favorable part of this bridge after inventory reprices. If revenue per vehicle stabilizes and marketing expense grows slower than retail volume, fixed-cost absorption can improve. If competitive new-car discounts repeatedly force used inventory markdowns, scale can magnify gross losses before it produces operating leverage. Used vehicles are heterogeneous inventory; a corporate average cannot reveal every age, price band or local market, so future turnover and margin must be read together.
Uxin also continues opening large superstores through local partnerships. The July Shaoxing project is expected to hold more than 2,500 vehicles. Physical reach can deepen selection, customer confidence and reconditioning efficiency; it also creates lease claims, working-capital needs and local-partner obligations. A store announcement is a capacity fact, not a return-on-capital result. The evidence shareholders need is throughput, gross profit, cash generation and the full claim structure around each expansion.

At the current expense base, Uxin needs a gross margin near 12.4% merely to cover operating expenses after other operating income. This is a static calculation, not a forecast: RMB145.3 million of operating expense less RMB2.0 million of other operating income, divided by RMB1,151.2 million of revenue. Management's Q3 guide of above 6% would be a substantial recovery, yet on Q2 revenue and costs it would still leave a material operating loss.
The hurdle can fall if revenue grows without proportional expense. Sales and marketing increased 60.6% year over year while revenue rose 74.9%, so some operating leverage exists. General and administrative expense rose only 13.0%, and research and development remained small. But a retailer cannot solve negative gross margin with overhead discipline alone. A vehicle must first sell for more than its acquisition, reconditioning and direct selling cost.
Interest expense adds RMB25.0 million after the operating line. Even a return to the Q1 gross margin of 7% would leave lenders and lessors ahead of common equity. Adjusted EBITDA removes share compensation and other specified items, but the adjusted loss of RMB119.8 million is still large. The company needs both gross-margin repair and continuing operating leverage before adjusted profitability becomes durable, then must turn that profit into cash.
Annual history supports caution. Revenue rose 78.6% in 2025, yet GAAP operating loss remained RMB173.6 million and operating cash outflow doubled to RMB504.4 million. The pattern is improving scale without proven owner economics. One restored-margin quarter would be useful; several quarters of positive operating cash would be stronger proof. A business can report impressive growth and still destroy common-equity value if every increment requires outside funding at an expanding share count.

The principal quality issue is not a non-cash reconciliation. Revenue is reported, cost of revenue exceeds it, operating expenses are real and adjusted EBITDA remains deeply negative. Share-based compensation was about RMB10.0 million within operating expense, far smaller than the RMB151.9 million GAAP operating loss. Removing it does not change the conclusion. The negative-margin event occurred at the core trading level.
Uxin reports in renminbi and trades in the United States through ADSs. The subscription disclosure proves that one ADS represents 300 ordinary shares: US$0.00953 per ordinary share is stated as US$2.859 per ADS. The current-quarter weighted average was 67.508 billion ordinary shares, or about 225.0 million ADS equivalents. The balance-sheet par-value line implies roughly 231 million ADS equivalents at June 30, while the provider snapshot carries 219.8 million. We use 234 million in the base scenario to allow for reported post-quarter and remaining installments. It is a model assumption, not an asserted exact fully diluted count.
That distinction changes valuation. At $1.30, the provider's count implies a $285.8 million market value. The balance-sheet-derived count implies roughly $300.3 million. This packet uses the latter as the current equity reference and states the denominator in every forward scenario. A low per-ADS price does not make a company cheap if the number of ADS equivalents rises or if claims ahead of the ADS are large.
Fiscal history also requires care. Uxin changed its year end from March to December. The Form 20-F therefore presents a fiscal year ended March 2024, a nine-month transition period ended December 2024 and a year ended December 2025. We show period lengths rather than pretending all columns cover twelve months. Currency translation can also change dollar comparisons even when the underlying renminbi result is unchanged, so operating history is analyzed in renminbi.

Cash was RMB82.6 million, essentially unchanged from RMB83.0 million at December despite a large reduction in inventory. Inventory fell to RMB358.1 million from RMB545.6 million, a 34.4% decline. The company still used RMB63.8 million of operating cash in Q2, so the inventory reset did not make the quarter self-funding. A smaller inventory balance can help liquidity while the loss on clearing that inventory hurts earnings.
Current assets of RMB564.9 million were below current liabilities of RMB766.0 million by RMB201.0 million. The current ratio was 0.74, and cash covered only 10.8% of current liabilities. Management says its cash, operating plans and financing plans are sufficient for at least twelve months. That is the issuer's liquidity assessment. The balance-sheet arithmetic remains a reason to require evidence from actual cash receipts, liability settlements and future cash conversion.
Claims ahead of common equity are substantial. Borrowings were about US$48.4 million at the release exchange rate. Finance-lease liabilities were about US$173.6 million, and redeemable non-controlling interests were about US$70.0 million. Less US$12.2 million of cash, this selected claims bridge totals about US$279.9 million before operating leases. That amount is close to the equity market value. Lease assets support operations, but the payment claims do not disappear when equity value is calculated.
Historical cash flow reinforces the point. Operations used RMB262.4 million in the fiscal year ended March 2024, RMB194.0 million in the nine-month transition period and RMB504.4 million in calendar 2025. Financing supplied RMB205.3 million, RMB198.3 million and RMB581.5 million over those respective periods. Growth has been funded by capital providers. Common-equity value depends on the terms and endurance of that funding as much as it depends on vehicle volume.

Positive earnings and free cash flow do not exist to support a conventional price-to-earnings or discounted-cash-flow model. We therefore use explicit 2028 enterprise-value-to-revenue scenarios, subtract selected claims and divide by a stated ADS count. The multiples are analyst assumptions, not a claimed peer median. This method is transparent about its weakness: revenue value is only a bridge to future profit, so each multiple embeds a view of eventual margin and cash conversion.
The bear case assumes US$650 million of 2028 revenue at 0.35 times sales. Subtracting US$280 million of claims produces negative formulaic common equity, so we assign a twenty-cent residual-option floor. The base case assumes US$1.1 billion of revenue at 0.50 times sales, US$269 million of claims and 234 million ADSs, yielding $1.20. The bull case assumes US$1.3 billion at 0.75 times sales, lower claims of US$250 million and 240 million ADSs, yielding $3.02. None of those revenue figures is management guidance.
Weights of 35%, 50% and 15% produce $1.12 per ADS. The weighting reflects asymmetry: a genuine recovery can create large upside from a low absolute share price, but common equity is residual to leases, borrowings, local-partner claims and future dilution. The weighted value is 13.8% below the current $1.30 close, while the close is 8.3% above the $1.20 base. That difference is too small relative to the model range for a high-conviction sell.
Our research entry reference is $0.84, twenty-five percent below the weighted value, provided the operating thesis has not deteriorated. It is not a forecast or trade instruction. If gross margin clears 8%, operating cash turns positive and subscription cash is fully received, fair value can move upward without the price falling. If margin stays below 6% or funding slips, the base should move down. Price and evidence must be considered together.

The provider consensus labels UXIN a Hold based on one buy and two holds, but its dated grade history consists of actions from 2018 and 2019. That distribution should not be presented as a fresh three-analyst vote on this release. The only dated price-target news in the saved data is Deutsche Bank's December 22, 2025 initiation at $4.50, when the shares were $3.83. It predates the current negative-margin quarter and the subsequent price decline.
The $4.50 target is useful as a record of a prior bullish case. It stands above the $2.859 subscription price and far above the current market. But a target's age matters when share issuance, store expansion, liquidity and unit economics are changing quickly. We do not average the stale target into fair value or describe the earnings-day move as validation of it. Current information should not inherit an old confidence level without new work.
Our $1.12 is more cautious because it explicitly subtracts borrowings, finance leases and redeemable non-controlling interests and assumes further ADS issuance. A bullish analyst may expect rapid margin normalization, much higher store throughput and lower capital needs. Those are legitimate differences in assumptions. The next two quarters can resolve more than a static consensus badge can.
The correct comparison is between models, not labels. The market closed at $1.30, the negotiated subscription price was $2.859, the dated target was $4.50, and our weighted scenario is $1.12. Each number has a different date and purpose. A financing counterparty may value strategic access or negotiate protections that public ADS holders do not receive; a research target may use a different horizon; a market close incorporates the day's risk appetite.

Management says it accelerated the sale of inventory hurt by falling prices, improved pricing accuracy and returned to a steadier procurement-to-sales cycle. The inventory balance supports the first part: it fell 34.4% from December. The Q3 gross-margin guide above 6% is the measurable test of the second part. We do not treat an outlook as achieved performance. The stronger evidence will be reported margin, operating cash and the age of remaining inventory.
Financing disclosure requires two separate records. A December 18, 2025 Abundant Grace arrangement committed US$10 million at $2.50 per ADS. By June 30, US$7 million had been paid, all associated shares had been delivered and US$3 million remained as a subscription receivable. A December 26, 2025 set of agreements with an NIO Capital affiliate and Prestige Shine committed US$50 million at $2.859 per ADS.
The current release says NIO-designated parties had paid US$15 million by June 30, another US$4 million arrived by the release date and a further US$4 million remained subject to closing conditions. It also describes NIO-affiliate commitments of US$20 million. Those figures do not reconcile arithmetically on their face. We preserve each disclosure rather than inventing a missing allocation. The practical questions are how much cash has settled, how many shares have issued and what remains conditional.
The chief executive also announced an intention to buy up to US$5 million of ADSs over twelve months. An intention is not a completed purchase. Insider buying can become positive evidence when filings show executed transactions. Until then, financing receipts and operating cash matter more to liquidity than a plan. Management deserves credit for setting a specific margin target; shareholders should still require the financial statement to confirm it.

Inventory-price risk is first. A used-car retailer owns vehicles whose prices can fall before sale. This quarter proves the consequence: rapid turnover can release inventory but also crystallize gross loss. Management's view that the hit is temporary is testable, not certain. Another round of new-car incentives or weak gasoline-car demand can reopen the spread.
Liquidity and funding risk are second. Current liabilities exceed current assets, cash is small relative to near-term obligations, and operations have consumed cash. Financing has repeatedly filled the gap. Delayed installments, tougher terms or another inventory shock can move value from existing ADS holders to new capital providers. The twelve-month liquidity conclusion relies on management plans as well as current resources.
Dilution and denominator risk are third. One ADS represents 300 ordinary shares, and billions of ordinary shares are involved in subscriptions. A per-ADS price can look low while the total equity claim expands. Every valuation must state its denominator and include claims ahead of common equity. Redeemable local-partner interests also sit outside ordinary shareholders.
The strongest bull case is that Q2 was a deliberate inventory purge. Retail volume has genuine momentum, marketing cost per vehicle improved, local partnerships support expansion, Q3 guidance requires only modest additional volume, and the subscription price sits far above the market. If gross margin rebounds above 6% immediately and then advances toward double digits while expenses grow slower than sales, common equity could be worth multiples of the bear case.
The strongest bear case is that six-percent gross margin still cannot support the expense and lease structure. Continued volume growth could require more inventory, more stores and more outside capital before Uxin reaches break-even. In that case the business can grow while per-ADS value fails to compound.

The next decision should be evidence-driven. The September quarter ends September 30, and the current release does not announce the next earnings date. We use December 17, 2026 as a research-review date because the provider calendar currently carries it; it is not an issuer-confirmed appointment. Any later issuer announcement supersedes it.
Gross margin is the primary checkpoint. Above 6% would satisfy management's immediate promise; above 8% would move the business closer to a plausible path toward break-even. Below 5% would suggest the inventory reset has not restored economics. Operating cash flow is the second checkpoint because a margin recovery funded by more working capital does less for shareholders.
Subscription receipts and share issuance must be read together. Green evidence is full settlement of the release-stated remaining cash with an exact updated share count. Red evidence is a delayed closing, revised price or new financing need before operations become self-funding. The balance-sheet test is whether current assets catch current liabilities without another large increase in lease or borrowing claims.
Our rating can rise if margin, cash and funding all improve together. It can fall if volume remains strong but gross margin stays weak, because that combination would show scale without economics. Adjusted EBITDA better than negative RMB25 million would show progress; another loss worse than RMB75 million would make the six-percent guide insufficient even if achieved. Checkpoints are decision rules, not predictions.
