The business accelerated; the price demands more. Product revenue grew 47.1%, while royalties supplied 51.8% of the revenue increase. Three explicit valuation routes average $156.06, rounded to $155, against $206.07 at 09:47:48 CDT on October 20. Our SELL call reflects a demanding price, high recurrence uncertainty and the cash needed for expansion. It is not a forecast that AI power demand disappears.
Analyst twelve-month value cases; probabilities are judgments, not statistical forecasts.
| Case | Probability | Value |
|---|---|---|
| Bear | 30.0% | $95.00 |
| Base | 45.0% | $155.00 |
| Bull | 25.0% | $270.00 |
| Scenario | Probability | 12-month value | vs $206.07 | What has to happen | The arithmetic |
|---|---|---|---|---|---|
| Bear | 30% | $95.00 | −54% | Royalty timing disappoints and the expansion earns a lower multiple. | Analyst forward EPS $4.75 × 20 = $95; a scenario, not company guidance. |
| Base | 45% | $155.00 | −25% | Product growth and licensing persist, but cash economics deserve a discount to optimistic targets. | Equal-weight routes: DCF $116.58, forward earnings $177.88, forward sales $173.72. Mean $156.06, rounded to $155. |
| Bull | 25% | $270.00 | +31% | AI power demand and licensing scale rapidly with successful capacity execution. | Analyst forward EPS $7.50 × 36 = $270; premium execution case. |
| The $95–270 scenario band is deliberately wide. The base value is the equal-weight mean of three routes rounded to the nearest $5; the weighted value differs because outcomes are asymmetric. | |||||

Thresholds are analyst decision rules, not company guidance. They remain dated and fixed for the next review; changing them requires an explained economic reason.
Our market anchor is $206.07 at 09:47:48 CDT on October 20, 2026. It was 8.1% above the October 19 completed-session close of $190.68. This is an intraday observation, not an October 20 closing return. The daily chart stops at October 19 so a moving partial-session bar cannot masquerade as a final close. A stock can rise after a good report and still offer an unattractive long-run entry price; those are different questions.

The previous public Q2 episode was framed around a beat followed by a decline and carried a HOLD call. This packet changes the question: royalties are now a much larger part of earnings, product shipments have accelerated, and the price still capitalizes a strong future. The prior local research packet is not available for an exact signpost-by-signpost audit, so we do not invent a historical target or scorecard victory. The public episode identity is retained in the research record. Our new dated signposts create a concrete comparison for the next quarter.
Net revenue rose 78.5% to $197.114M and increased 37.5% sequentially. Product revenue was $130.501M and royalty revenue was $66.613M. Both grew, but royalties contributed 51.8% of the year-over-year dollar increase. Treating the whole increase as additional manufactured units would misread the economics. Equally, dismissing the whole quarter as licensing would ignore substantial growth in the product business.

The provider’s saved consensus comparison is $187.025M revenue and $1.32 EPS. Actual revenue exceeded that snapshot by 5.4%; EPS exceeded it by 0.8%. This is a narrow earnings beat beside a much larger year-over-year increase, illustrating why a strong growth rate and a large surprise are not interchangeable. The estimate feed is an observed vendor snapshot, not a guarantee that every analyst used the same cutoff or accounting definition.

The distinction between revenue and settlement proceeds also changes the nine-month comparison. Current net revenue of $453.435M compares with $300.437M of prior net revenue, while last year’s total including the settlement was $345.437M. The earnings release now displays those lines separately. We preserve that separation throughout the trend tables. No current-quarter non-GAAP EPS is supplied in the release, so we do not create an adjusted headline by removing whichever items make the quarter look smoother.
Vicor reports one operating and reportable segment. Product revenue and royalty revenue are economic streams, not separately reported segments with disclosed operating profit. The annual report also disaggregates Advanced Products and Brick Products, but the current earnings release does not provide a new quarterly split for those categories. We use the consolidated segment and clearly identified product economics rather than fabricate missing divisional margins.

Product gross margin was 52.2%, about 505 basis points above the year-ago quarter. That improvement supports a better product story independently of royalties. Consolidated gross margin reached 68.3%; the much higher result reflects the mix as well as product economics. The release labels costs as cost of product revenues, but legal enforcement, engineering and administration also support the licensing franchise. Allocating zero total economic cost to royalties would therefore overstate their standalone profitability.

| Q3 2026 | 406.0 |
Backlog reached $406M, compared with $380M sequentially and $152.8M in the year-ago release. This is strong evidence of demand, but backlog is neither cash nor a guaranteed schedule of high-margin revenue. Orders can shift, production can be delayed, and customers can change delivery needs. The useful question is whether shipments, collections and margins improve together. We would regard a rising order book alongside repeated inventory accumulation and weaker cash conversion as a different signal from orderly profitable delivery.
Management describes the purchase of two additional sites near the existing CHiP fabrication facility and an eventual nearly fivefold capacity footprint relative to the first fab. That is an ambition requiring equipment, execution and customer demand; it is not current installed output multiplied by five. The annual report identifies concentrated Advanced Products demand and some single-source inputs. Capacity expansion can reduce a bottleneck, but it can also turn variable demand risk into a larger fixed-cost commitment.
Operating income reached $72.148M, up from $20.907M a year earlier. The company earned $134.680M of gross profit and spent $38.563M on selling, general and administrative costs plus $23.969M on research and development. SG&A includes contingency fees connected with intellectual-property enforcement. A royalty-heavy quarter can therefore have attractive economics without all additional royalties dropping through untouched to operating profit.

Below operating income, $6.585M of other income brought pretax earnings to $78.733M. The $15.401M tax expense and $0.011M minority allocation left $63.321M attributable to Vicor shareholders. The release does not break the current other-income total into all components, so it is not presented as entirely recurring interest. We keep it separate because the value of product and licensing operations should not be inferred from a bottom-line figure without understanding non-operating support.

The current effective tax rate was 19.6%. The year-ago quarter had a tax benefit, and the immediately preceding quarter also had a tax benefit. That makes the current EPS increase more impressive operationally, but it makes annualizing recent EPS mechanically less reliable. The historical tax benefits are not assumed to recur forever in our valuation. The annual cash-flow statement separately records deferred-tax effects, which is another reason accounting earnings and spendable cash must be tested independently.

Diluted weighted shares were 47.609M versus 44.930M a year earlier. A repurchase authorization does not guarantee a declining share count when stock plans and dilution also contribute. We use the actual diluted denominator in valuation and keep the provider’s outstanding-share market capitalization separate. The result is a more conservative per-share test without pretending that every weighted share is the exact spot share count on the quote date.
The quality scorecard uses the same nine questions even when a disclosure is missing. Missing information is marked unavailable; it is not a zero, a clean bill of health or evidence of misconduct. Current-quarter stock compensation and the full operating-cash reconciliation are not supplied in the earnings release. The latest annual stock-compensation expense was $16.787M, or 4.1% of net revenue. That historical scale is useful context, but it cannot stand in for the unreported current amount.

Receivables rose to $122.488M from $60.716M at year-end. A faster-growing business can require more working capital, and licensing terms can create a different billing pattern from product shipments. Our ending-balance days proxy is therefore a warning light to investigate, not a formal collection-deterioration diagnosis. Inventory of $110.922M similarly needs to be judged against capacity preparation, lead times, product demand and obsolescence risk. A higher balance is not automatically either prudent investment or a problem.

Operating cash of approximately $69.7M exceeded consolidated quarterly earnings, and approximately $53.6M remained after capex. That is encouraging. Yet the annual comparison contains settlement receipts, deferred taxes and working-capital changes, while the first quarter of 2026 included a $28.6M litigation payment. We do not erase the payment simply because it was unusual: cash left the business. Nor do we assume a large historical settlement receipt repeats in the next model year.
The annual revenue policy distinguishes sales- or usage-based royalties from other right-to-use arrangements and includes contract-specific recognition rules. That makes agreement terms and payment evidence important to judging recurrence. The current release reports a new VPD license at Stage 2 unit royalty rates, but it does not disclose enough detail to forecast a guaranteed quarterly royalty stream. Recognition can be valid while the size and timing of the next payment remain uncertain.
Vicor held $513.137M of cash at quarter-end and reported no borrowing debt line. Lease liabilities totaled $7.160M and remain real commitments, but they are not silently relabeled as bank borrowing. Cash represents $10.78 per diluted weighted share, only 5.2% of the timed share price. A strong balance sheet reduces financing pressure; it does not by itself provide a large valuation floor at this market price.

The planned facilities make capital allocation a central investment issue. Current-quarter capex of $16.1M exceeds the year-ago $4.0M, and additional capacity may require more spending before it generates cash. Management can finance a substantial programme internally, but the return depends on utilization, yields, customers and economics after ramp costs. A cash-rich company can still destroy value by building ahead of profitable demand. Conversely, a well-timed expansion can remove a genuine constraint and make today’s conservative cash assumptions too low.
The annual report shows $35.175M of 2025 repurchases alongside $41.495M of employee-stock-plan proceeds. Those flows have different economic meanings: repurchases return capital, while issuance funds the company but can dilute ownership. The current August repurchase authorization is a permission to buy, not a forecast of execution. We will assess it together with the diluted share count, the purchase price and the cash needed for manufacturing capacity.
We add existing cash once in the valuation and assume future operating cash flows exclude returns on that existing cash balance. Otherwise an analyst could count the same cash twice, once as an asset and again through capitalized interest earnings. Lease costs remain within operating economics. The modeling convention is explicit so a reader can substitute a different treatment without confusing a definitional change with a change in the underlying business.
At the timed quote, price multiplied by 47.609M diluted shares gives modeled equity value of $9.811B. Subtracting $513.137M cash gives $9.298B of operating enterprise value. This is a consistent diluted-share model, not a claim that the vendor’s spot market capitalization is wrong. It pays approximately 32.4 times the saved 2027 consensus EPS and 9.6 times saved 2027 revenue after subtracting cash.
Assume $240M normalized operating FCF in 2027, 18% annual growth through 2031, 11% discount rate and 3.5% terminal growth. Discount five annual cash flows plus terminal value, then add $513.137M cash and divide by 47.609M shares: $116.58. These are analyst assumptions, not management guidance.
Saved 2027 consensus EPS $6.35282 × analyst-selected 28 times earnings = $177.88. Cash is not added again because this equity earnings method can already reflect interest income. The multiple is a judgment about growth and risk, not a measured peer median.
Saved 2027 consensus revenue $969.7M × analyst-selected 8 times enterprise value/revenue + $513.137M cash, divided by 47.609M shares = $173.72. A premium sales multiple presumes durable margins; it is not justified by revenue alone.
The routes average $156.06, rounded to a $155 base value. They are deliberately not presented as three independent proofs: the earnings and revenue routes both rely on the same optimistic consensus path, and the DCF relies on analyst cash assumptions. Their disagreement is informative. A long-duration cash model lands well below the premium-multiple approaches. High uncertainty and 3/5 conviction recognize that disagreement instead of disguising it with extra decimal places.
| DCF year | Operating FCF assumption $M |

| 2027 | 240.000 |
| 2028 | 283.200 |
| 2029 | 334.176 |

| PV of explicit cash $1,226.307M; PV of terminal value $3,810.689M; terminal share 75.7%. Annual end-period convention; no separate short stub is modeled. | |
The DCF begins with $240M of operating free cash flow, already above the approximate $214.4M annualized rate of this strong quarter. It then compounds rapidly. Yet roughly 75.7% of operating value still comes from the terminal calculation. This is why a cash-rich balance sheet cannot rescue a model from overly generous long-run assumptions. Changing the discount rate or sustained growth rate changes value materially even before discussing legal outcomes, customer concentration or manufacturing execution.
| Discount rate | 10% growth | 18% growth | 26% growth |
|---|---|---|---|
| 9.0% | $124.60 | $157.58 | $197.73 |
| 11.0% | $93.52 | $116.58 | $144.57 |
| 13.0% | $75.57 | $92.94 | $113.97 |
A reverse calculation makes the price test tangible. Keeping $240M first-year FCF, the 11% discount rate, 3.5% terminal growth, cash and shares unchanged, subsequent annual FCF growth would need to be about 39.7% through 2031 to support the $206.075 quote. That is not the only way to justify the stock: a larger starting cash flow, lower required return or stronger terminal economics could also do it. It does show how much operating success the price asks investors to capitalize in this particular model.
Our probability-weighted scenario value is $165.75, above the $155 base because the bull outcome is far from the center, but still 19.6% below the quote. A 25% margin-of-safety rule around the base gives a possible entry checkpoint of $116.25, conditional on the operating thesis remaining intact. This is a decision rule, not a limit order or assurance that shares will trade there. Better verified recurring cash could raise the valuation; a lower share price alone would not repair a damaged business.
The most recent target observations in the saved news feed are Needham’s $320 on July 21 and Roth Capital’s $375 on June 22. Both predate this October release. They show how optimistic published valuation frameworks have been, but they are not verified post-print responses. We do not describe either target as raised today or imply that the analysts have reviewed the new royalty mix, cash flow or factory plans.

The annual estimate feed projects a steep revenue path and a much higher earnings base. That supports a serious bull case, but coverage counts are small and a vendor aggregation is not a management commitment. There is no verified post-release estimate-revision history in this dataset. The provider’s separate letter rating is a quantitative model score, not a count of analyst BUY, HOLD and SELL recommendations; we therefore do not transform it into a false ratings distribution.

| 2027 | 969.7 | $6.35 | 3 / 2 |
| 2028 | 1,190.4 | $8.36 | 4 / 3 |
The saved 2026 revenue estimate of $634.4M implies approximately $180.965M for Q4 after subtracting the reported nine-month $453.435M. That arithmetic is useful, but the implied quarter is not a forecast from Vicor. The 2027 estimate of $969.7M and 2028 estimate of $1,190.4M require much more than one unusually strong licensing quarter. A disciplined investor should ask which portions come from units, prices, new designs, royalties and manufacturing capacity.

Management’s technical argument centers on vertical power delivery for demanding AI applications. The release discusses a new license and the institution of an International Trade Commission investigation. Institution of an investigation is a procedural milestone, not a final finding of infringement, an exclusion order or a guaranteed cash recovery. We separate the company’s engineering and competitive claims from independently verified commercial results. The observed revenue and cash are stronger evidence than a confident prediction about eventual industry adoption.
The annual report identifies a single operating segment, KPMG LLP as auditor, and a dual-class structure. Common shares carry one vote each; Class B shares carry ten votes and can convert one-for-one into common shares under the stated terms. Nasdaq-listed VICR is common stock, not an ADR, and no ADS conversion ratio is required. The reviewed filing does not describe a VIE ownership structure. We found no current audit-access obstacle in the reviewed issuer/security evidence, while avoiding a claim of an exhaustive legal opinion.
The founder’s ownership concentration and the different voting rights matter because minority investors cannot assume control follows economic ownership proportionately. The annual report also warns that Advanced Products revenue can be concentrated in one or a limited number of customers, including indirect sales through manufacturers and royalties. No customer represented more than 10% of year-end 2025 trade receivables, but that receivable statistic does not eliminate customer concentration in annual revenue or future design wins.
The company had 1,092 full-time employees at year-end 2025, compared with 1,074 in 2024 and 1,063 in 2023, as verified from the respective annual filings. Capacity growth on the scale described will require more than real estate: process engineering, production readiness, supplier coordination and quality control must advance together. We would not use headcount growth alone as a productivity score. The relevant outcome is profitable, reliable output per unit of invested capital.
These questions are designed to change a forecast, not merely elicit reassurance. A quantified royalty floor, customer-backed capacity commitments or a clear cash-collection schedule could justify greater confidence. Vague confidence about a large addressable market would not. We also retain the annual report’s dividend policy: there was no formal policy and no plan to declare a cash dividend at year-end 2025. Cash on the balance sheet is therefore not a promised distribution to shareholders.

The strongest bull case is that Vicor owns technology customers increasingly need as AI processors demand higher current density and efficient power delivery. Product growth, a larger backlog and new licensing could reinforce one another. A successful licensing ecosystem can monetize technology without matching each dollar of revenue with factory capital, while additional capacity can remove constraints on product shipments. If those mechanisms deliver cash faster than our model assumes, the current price can be more reasonable than our base estimate suggests.
The strongest bear case is that investors extrapolate a royalty-rich quarter and an ambitious capacity plan into a smooth earnings trajectory. Legal enforcement can cost money before it produces revenue; new fabs can consume cash before utilization becomes attractive; concentrated customers can shift orders or designs. A premium valuation magnifies the effect of even a modest disappointment. None of these risks requires a collapse in the underlying AI market. They arise from the difference between broad demand and one company’s cash captured per share.
Tariffs and international exposure add another layer. The annual report says the company introduced a 10% tariff surcharge on products in the second half of 2025, and it identifies China and Hong Kong as approximately 11.9% of annual net revenue. Those historical facts do not establish today’s realized tariff burden or customer acceptance of every surcharge. We do not treat policy headlines as a quantified current earnings adjustment without actual disclosure. Pricing power must be tested through volumes, margins and collections.
| When | Event | Evidence to seek |
|---|---|---|
| October 20, 2026 | Earnings release and scheduled call | Release verified; call commentary requires separate verification |
| Next quarterly filing | Q3 2026 detailed statements | SBC, cash-flow bridge, receivable and licensing detail |
| Q4 2026 / FY2026 results; date unannounced | Next comparable operating test | Royalty recurrence, product margins, cash and backlog |
| When announced | Additional-facility milestones | Capital budget, equipment readiness and customer commitments |
| When published | ITC / legal developments | Actual procedural or merits decision; no invented deadline |
| 2027 outlook, if issued | Next-year baseline | Company numbers distinguished from saved analyst estimates |
The next filing is valuable because it can turn several unavailable quality measures into actual evidence. Stock compensation, cash-flow adjustments and expanded revenue notes can explain how much of the current quarter was collected and what obligations accompany the reported revenue. A filing that confirms strong cash economics would improve confidence even if the headline EPS is already known. A new number should not be added to the model until its period, units and accounting treatment are reconciled.

The primary-source hierarchy is deliberate. Current and historical income and balance-sheet figures come from actual SEC earnings exhibits; the three-year cash series comes from the audited annual report. Historical quarterly cash flows are retained from the saved vendor dataset and compared with the rounded release discussion. All raw statements, source URLs and SHA-256 hashes remain in the episode research evidence. The newest vendor EPS and weighted-share fields were zero placeholders, so they were replaced with the primary $1.33 and 47.609M figures.
Other vendor discrepancies also mattered. The saved Q3 2025 income data reversed the sign of the tax benefit and changed other income, while the FY2025 annual presentation classified the $45M settlement differently from the primary operating statement. We retained the primary GAAP bridge. These are provider mapping issues, not evidence that the issuer’s financial statements fail to reconcile. All nine primary quarters pass arithmetic checks from revenue through gross profit, operating profit, tax, minority interests and parent earnings, and their balance sheets balance.
Free cash flow means operating cash less capital expenditures here. Product gross margin uses product revenue and the disclosed cost of product revenues. Ending receivable and inventory days use a standardized 91-day denominator and are analytical proxies, not reported company KPIs. Current cash-flow amounts are rounded in the release, so their difference is labeled approximate. Historical EPS and weighted shares are read directly from quarterly tables rather than obtained by subtracting annual or year-to-date averages.
The valuation separates observed inputs from analyst assumptions. Consensus estimates and older targets are dated snapshots; growth rates, discount rates, multiples, probabilities and signpost thresholds are our judgments. The DCF assumes operating free cash flow excludes income earned on the separately added cash balance. Its first modeled annual cash flow is 2027, with annual end-period discounting and no short stub. The sensitivity grid and reverse calculation keep that convention fixed so changes are interpretable.
